Thrasher Advisors works with clients across the lifecycle of a commercial real estate transaction. Our practice is concentrated in five areas. Most engagements involve more than one.

Every transaction has a structure underneath it that determines economics, roles and responsibilities, and risk allocation. We work with clients to design structures that align incentives, anticipate the issues that will surface later, and stand up under pressure. This includes joint ventures, operating agreements, waterfalls, promote and carried interest mechanics, and the documentation that supports them.

Raising capital requires understanding both sides of the table. We help operators and developers structure offerings, prepare materials, and engage with investors in a way that builds confidence and stands up to diligence. Our work spans single-asset syndications, programmatic equity relationships, and discretionary funds.

Most deals are financed through some combination of senior debt, mezzanine, preferred equity, and common equity. The right combination depends on the asset, the market, and the sponsor. We help clients evaluate options, negotiate terms, and structure financings that hold up across market cycles.

We support developers and acquirers from concept through closing, including entity formation, joint venture documentation, financing coordination, and the operational structures that make a project work after the deal is signed. Our experience covers multifamily, hospitality, retail, and mixed-use across multiple geographies.

Private placements live at the intersection of business and securities law, and the details matter. We help clients design and execute Regulation D offerings, draft offering documents, navigate Blue Sky and federal compliance, and structure investor relationships that work for both sponsor and investor over the life of the investment.
